PUBLIC OFFER AGREEMENT
about buying and selling goods in an online store
1. Загальні положення
1.1. This agreement is a public agreement (in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine) and determines the terms of purchase and sale of goods carried out through the online store https://bises.ua (hereinafter referred to as the "Site").

1.3. Покупець — фізична або юридична особа, яка приймає умови цього договору та оформлює замовлення через Сайт.
1.4. Placing an order is confirmation of full and unconditional acceptance of the terms of this offer (acceptance).
2. Предмет договору
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement is the date of filling out the order form located on the website of the Online Store, provided that the Buyer receives an order confirmation from the Seller in electronic form.
3. Порядок оформлення замовлення
3.1. The buyer independently places an order in the online store through the "Cart" form, or by placing an order on Instagram or by calling the phone number specified in the contact section of the online store.
3.2. The Seller has the right to refuse to transfer the order to the Buyer if the information provided by the Buyer when placing the order is incomplete, incorrect or raises suspicion as to its validity.
3.3. При оформленні замовлення на сайті Інтернет-магазину Покупець зобов’язується надати наступну обов’язкову інформацію, необхідну Продавцю для виконання замовлення:
3.3.1. surname, first name of the Buyer;
3.3.2. the address to which the Goods should be delivered (if delivery to the Buyer's address);
3.3.3. contact phone number.
3.4. All characteristics, photos, availability and price of the product are indicated on the relevant pages of the Site.
3.5. In the event of the unavailability of the ordered goods, the Seller shall notify the Buyer by any available means.
3.6. The name, quantity, article number, and price of the Goods selected by the Buyer are indicated in the Buyer's basket on the Online Store website.
3.7. If any of the Parties to the Agreement requires additional information, it has the right to request it from the other Party. In the event that the Buyer fails to provide the necessary information, the Seller is not responsible for providing quality service to the Buyer when purchasing goods in the online store.
3.8. When placing an order through the Seller's operator (clause 3.1. of this Offer), the Buyer undertakes to provide the information specified in clauses 3.3 - 3.4. of this Offer.
3.9. The Buyer's acceptance of the terms of this Offer is carried out by entering the relevant data into the registration form on the Online Store website or when placing an Order through the Operator. After placing an Order through the Operator, the Buyer's data is entered into the Seller's database.
3.10. The Buyer is responsible for the accuracy of the information provided when placing an Order.
3.11. Укладаючи Договір, тобто акцептуючи умови даної пропозиції (запропоновані умови придбання Товару), шляхом оформлення Замовлення, Покупець підтверджує наступне:
a) The Buyer is fully and completely familiar with and agrees with the terms of this offer;
b) he gives permission to collect, process and transfer personal data, the permission to process personal data is valid for the entire term of the Agreement, as well as for an unlimited period after its expiration. In addition, by concluding the Agreement, the Buyer confirms that he is informed (without additional notice) of the rights established by the Law of Ukraine “On Personal Data Protection”, of the purposes of data collection, and that his personal data is transferred to the Seller in order to be able to fulfill the terms of this Agreement, the possibility of making mutual settlements, as well as to receive invoices, acts and other documents. The Buyer also agrees that the Seller has the right to provide access to and transfer his personal data to third parties without any additional notice from the Buyer in order to fulfill the Buyer's order. The scope of the Buyer's rights as a subject of personal data in accordance with the Law of Ukraine “On Personal Data Protection” is known and understood by him. 4. Ціна та порядок оплати
4.1. Ціни вказані у гривнях і є кінцевими на момент оформлення замовлення. Для міжнародних клієнтів вартість у валюті може відображатися в еквіваленті за курсом, встановленим платіжною системою чи банком-емітентом картки.
4.2. Payment is made:
– онлайн через платіжний сервіс WayforPay, що підтримує українські та міжнародні картки;
– за реквізитами Продавця (за домовленістю).
4.3. У разі оплати міжнародними банківськими картками чи рахунками можлива подвійна конвертація валют відповідно до тарифів банку-емітента Покупця.
4.4. Після здійснення онлайн-оплати Покупець отримує електронний лист-підтвердження з деталями замовлення та доставки.
4.5. Якщо Покупцеві зручніші альтернативні варіанти оплати, він може звернутися до Продавця для узгодження оптимального способу.
4.6. Зобов’язання Покупця щодо оплати вважаються виконаними з моменту надходження коштів на рахунок Продавця.
5. Доставка
5.1. Доставка здійснюється по Україні та за кордон.
5.2. Доставка по Україні:
– Нова Пошта (відділення, поштомат, кур’єрська доставка).
За бажанням Покупця можливе використання іншого перевізника.
Вартість доставки визначається тарифами обраної служби і сплачується Покупцем.
5.3. Міжнародна доставка:
– ТОВ Нова Пошта — від 3 до 7 робочих днів, доставка у відділення, поштомат чи кур’єром;
– Ukrposhta (EMS) — 10–14 робочих днів, доставка у відділення або кур’єром (для тих країн, куди Нова Пошта не доставляє).
5.4. Вартість міжнародної доставки розраховується автоматично при оформленні замовлення залежно від країни та ваги.
5.5. Усі митні збори та податки сплачуються отримувачем. Після прибуття посилки у країну призначення перевізник надсилає повідомлення із сумою та способом оплати (онлайн або при отриманні, залежно від правил конкретної країни).
5.6. Терміни доставки залежать від перевізника та країни призначення.
6. Повернення та обмін товару
6.1. Повернення та обмін товару здійснюється відповідно до Закону України «Про захист прав споживачів» та положень цього Договору.
6.2. Товари текстильної групи (постільна білизна, рушники, подушки, ковдри, пледи, покривала, халати, наматрацники) належної якості не підлягають поверненню або обміну, крім випадків виявлення виробничого браку чи невідповідності замовленню.
6.3. У випадку браку або невідповідності замовленню Покупець має право на обмін чи повернення протягом 14 календарних днів з моменту отримання замовлення, за умови:
– наявності оригінальної упаковки та документів, що підтверджують покупку;
– збереження товарного вигляду та споживчих властивостей;
– відсутності слідів використання;
– непошкоджених фабричних ярликів.
6.4. У разі виявлення дефекту Покупець зобов’язаний повідомити Продавця та надати фото/відеопідтвердження.
6.5. Витрати на повернення чи обмін у разі виробничого браку Продавець бере на себе. У випадку повернення/обміну з інших причин витрати на доставку несе Покупець.
Додаткові умови для міжнародних клієнтів:
– Заяву на повернення чи обмін можна подати протягом 14 днів з моменту отримання посилки у країні призначення.
– Зворотна міжнародна доставка та митні збори оплачуються Покупцем.
– Середня тривалість пересилання назад становить від 1 до 4 тижнів.
– Після відправки Покупець зобов’язаний повідомити Продавцю трек-номер для відстеження.
– У разі, якщо Покупець після відправлення замовлення бажає його скасувати, змінити або доукомплектувати, витрати на повернення та повторну доставку компенсує Покупець.
6.6. Для оформлення повернення Покупець звертається за адресою: bises.communication@gmail.com with the topic "Return/exchange of goods".
6.7. Повернення коштів здійснюється на картковий рахунок Покупця не пізніше 7 робочих днів після отримання Продавцем поверненого товару та перевірки його стану.
6.8. Термін зарахування коштів може залежати від політики банку-емітента Покупця.
7. Гарантії та відповідальність
7.1. The Seller guarantees that the goods comply with the current legislation of Ukraine and the description on the website.
7.2. The Seller is not liable for damage caused by improper use of the goods.
7.3. The Seller is not liable for damage caused to the Buyer or third parties as a result of improper delivery or storage of the Goods purchased from the Seller.
7.4. The Seller is not responsible for improper, untimely fulfillment of Orders and its obligations in the event that the Buyer provides inaccurate or erroneous information.
7.5. The Seller and the Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
7.6. The Seller or the Buyer shall be exempt from liability for full or partial failure to fulfill their obligations if the failure is a consequence of force majeure circumstances such as: war or military actions, earthquake, flood, fire and other natural disasters that arose regardless of the will of the Seller and / or the Buyer after the conclusion of this agreement. The Party that cannot fulfill its obligations shall immediately notify the other Party thereof.
7.7. All claims are sent to the Seller's email address.
8. Обробка персональних даних
8.1. By providing their personal data on the website of the Online Store during registration or placing an Order, the Buyer gives the Seller their voluntary consent to the processing, use (including transfer) of their personal data, as well as to perform other actions provided for by the Law of Ukraine "On Personal Data Protection", without limiting the validity period of such consent.
8.2. The Seller undertakes not to disclose information received from the Buyer. It is not considered a violation for the Seller to provide information to counterparties and third parties acting on the basis of an agreement with the Seller, including to fulfill obligations to the Buyer, as well as in cases where the disclosure of such information is established by the requirements of the current legislation of Ukraine.
8.3. The Buyer is responsible for keeping his/her personal data up to date. The Seller is not responsible for poor performance or failure to fulfill its obligations due to the outdated or inaccurate information about the Buyer.

9. Прикінцеві положення
9.1. This agreement has legal force in accordance with the legislation of Ukraine.
9.2. The Seller reserves the right to change the terms of the contract without prior notice. Changes shall enter into force from the moment of their publication on the Site.
9.3. All disputes shall be resolved through negotiations or in accordance with the procedure established by law.
